OPC Foundation ("OPCF") makes available one or more interactive online applications and services (each, a "Service"), which may include, for example, online editors such as the NodeSet Editor, model and content libraries, collaboration and sharing tools, and application programming interfaces. The Services, together with the websites through which they are made available ("Website" or "Websites") and the materials, software, content, and documentation made available by or through the Services or Websites ("Materials"), are provided subject to these Terms of Use and any additional terms and conditions that may accompany a particular Service, Materials, or feature (collectively, the "Terms"). By creating an account, signing in, accessing, browsing, or otherwise using a Service, the Websites, or any Materials, you accept and agree to be bound by the Terms. If you are an individual acting on behalf of an entity, you represent and warrant that you have the authority to agree to the Terms on behalf of that entity and to bind that entity to the Terms. If you do not agree to the Terms, do not create an account and do not access or use the Services, the Websites, or any Materials.
Where you access a Service, you may be required to indicate your acceptance of the Terms electronically (for example, by selecting "I Agree") before you can use the Service. OPCF may record the fact, date, and version of your acceptance, in accordance with OPCF's Privacy Policy available here.
The Services are software tools and online applications for authoring, editing, storing, exchanging, and sharing technical content, such as OPC UA information models ("NodeSets") and related data. Features vary by Service, and OPCF may add, change, or discontinue Services or features at any time, subject to providing reasonable advance notice pursuant to Section 3.2. Each Service may have its own supplementary terms as described in Section 3.1.
The Services are software tools. Nothing provided by or through a Service constitutes legal, regulatory, safety, or other professional advice, and you are solely responsible for evaluating the fitness of any output for your purposes. OPCF's liability in respect of your use of the Services is limited as set out in Section 13.
Certain Services, Materials, features, or sub-sites accessible via the Services or Websites may have their own supplementary terms and conditions specific to them (for example, licence terms attached to standard NodeSets or to the underlying open-source software). By accessing or using those Services, Materials, features, or sub-sites, you accept and agree to be bound by the applicable supplementary terms and conditions. To the extent these Terms conflict with or are superseded by any such supplementary terms and conditions, the supplementary terms and conditions will govern and control with respect to those Services, Materials, features, or sub-sites.
OPCF may change or remove any part of the Terms at any time. For material changes affecting registered users of a Service, OPCF will provide reasonable advance notice (for example, by posting the updated Terms and requesting renewed acceptance, or by notice to the email address associated with your account), except where OPCF is required to act immediately (including in cases of suspected fraud, security issues, or other urgent circumstances). Changes are effective after expiry of the reasonable notice period, and your continued use of the Services or Materials after the effective date will be deemed your acceptance of and agreement to be bound by the changed Terms. You have the right to stop using the Services at any time, including during the notice period.
OPCF may suspend or terminate the Services, any Materials, any feature in whole or in part, temporarily or permanently, at any time in its sole discretion, with or without notice, including (without limitation) where OPCF believes you have violated the Terms or applicable law, or to protect the Services or other users. OPCF may suspend your account, temporarily or permanently, at any time in its sole discretion, and shall provide a statement of reasons to you unless prohibited from doing so by applicable law. Sections that by their nature should survive termination (including ownership, licence grants you have made, disclaimers, limitations of liability, indemnification, and governing law) will survive. See also Section 11 (Term, Termination, and Effect on Your Content).
The Services, Websites, or Materials may contain links to other sites or resources not under the control of OPCF. OPCF is not responsible for the content of any linked site or resource. If you decide to access or use linked sites, you do so entirely at your own risk.
Use of a Service may require that you establish or use an account and authenticate through an identity provider that OPCF supports (which may be operated by a third party, such as Microsoft Entra ID / Azure Active Directory, or an identity provider operated by your organization). Your use of any such third-party identity provider is governed by that provider's own terms and privacy practices, for which OPCF is not responsible.
It is a condition of your use of the Services that all information you provide in connection with registration and use is accurate, current, and complete. You are entirely responsible for maintaining the confidentiality of your credentials, having strong passwords, and for all activities that occur under your account. You must promptly notify OPCF of any unauthorized use of your account or any other breach of security of which you become aware.
If you create or access an account on behalf of an entity, you are responsible for ensuring that each individual who uses the account on that entity's behalf complies with the Terms, and the entity is responsible for their acts and omissions.
"Your Content" means any files, information models, data, text, values, metadata, descriptions, or other content that you (or others using your account) upload, import, create, edit, or store in a Service. As between you and OPCF, you retain all right, title, and interest (including all intellectual property rights) in and to Your Content. OPCF does not claim ownership of Your Content.
You grant OPCF an irrevocable, worldwide, non-exclusive, royalty-free licence to host, store, copy, cache, back up, transmit, reformat, index, parse, render, display, and otherwise process Your Content, and to create and store derived representations of it (for example, to convert between content representations, to build search indexes, or to generate the in-memory and database structures the Services need), solely to the extent necessary to operate, maintain, secure, and provide the Services to you and to those with whom you choose to share Your Content. This licence is limited to those purposes, and ends when Your Content is deleted from the Services, except for (a) residual copies in routine backups for a limited retention period and (b) copies that other users have already lawfully obtained through the sharing features (see Section 6).
You represent and warrant that, for all of Your Content: (a) you own it or have all rights, licences, consents, and permissions necessary to upload it and to grant the licences in these Terms; (b) it does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights; (c) it does not violate any applicable law, regulation, contractual obligation, or the rights of any third party; and (d) it does not contain malware or other harmful code.
The Services are intended for technical content, not for personal data. You agree not to upload or store in a Service any personal data, special-category / sensitive personal data, payment card data, health information, or other regulated or confidential information of you or of any third party. You are solely responsible for any such data you choose to upload. You also agree not to upload content that is subject to export controls or sanctions restrictions in violation of Section 14.
You are solely liable and responsible for Your Content and for the consequences of uploading, storing, editing, and sharing it, including for any loss or damage suffered by us or any third party arising from or in connection with Your Content. OPCF does not pre-screen Your Content and is not responsible for it, but OPCF may (without obligation) review, remove, or disable access to any content that it believes violates the Terms or applicable law, or that may expose OPCF or others to liability.
You are responsible for maintaining your own independent backups of Your Content. While OPCF may keep backups for operational purposes, OPCF does not guarantee that any backup will exist or be recoverable, and the Services are not a backup or archival service. You should retain an independent copy of any content that is important to you.
A Service may let you keep Your Content private to your account or workspace, or choose to share or publish content so that other authenticated users of the Service can discover, view, import, copy, and reuse it ("Shared Content"). Sharing is an affirmative action you take. Before sharing, you are responsible for ensuring that you have the right to do so and that the content does not contain anything you are not permitted to disclose.
When you make any of Your Content available as Shared Content, you grant (a) to OPCF the rights described in Section 5.2 as needed to make the content available to other users, meaning that the licence becomes transferable and sublicensable to said other users and (b) to each other user of the Service a non-exclusive, worldwide, royalty-free licence to access, view, download, import, copy, and use that Shared Content within and through the Service for the whole duration of the intellectual property rights applicable to the Shared Content.
You understand that once you share content and another user has imported or copied it, you may not be able to retrieve or revoke copies already obtained by others. Removing content from the shared library prevents future access but does not necessarily delete copies others have already made. OPCF shall have no liability whatsoever for any use or exploitation of the Shared Content by said other user or any third party, and shall not be liable for any loss, damage, cost, expense or claim arising out of or in connection with such use or exploitation.
A Service may make available standard OPC UA NodeSets, companion specifications, and other content published by OPCF or third parties. Those Materials remain subject to their own licence terms and applicable copyright notices and no rights are granted to you other than as expressly permitted by those licence terms. Your use of them is permitted only as allowed by those terms. You are solely responsible for identifying, understanding and complying with all applicable licence terms before accessing or using any Materials. OPCF does not monitor, review, verify, update, approve or endorse any Materials, including any content submitted or provided by other users. OPCF provides access to the Materials solely as a convenience, on an "as is" and "as available" basis, without any representations, warranties or guarantees of any kind (whether express, implied or statutory), including without limitation as to accuracy, completeness, reliability, non-infringement, or fitness for any particular purpose, in accordance with Section 12. You are solely responsible for, and assume all risk arising from, your access to or use of any third-party or user-submitted Materials, including any reliance on such Materials.
Separately from Your Content, you may choose to send OPCF suggestions, ideas, bug reports, feature requests, or other feedback regarding the Services or Materials ("Feedback"). Feedback is not confidential. You grant OPCF a worldwide, non-exclusive, irrevocable, fully sublicensable, royalty-free, and transferable licence to use, reproduce, modify, distribute, and otherwise exploit Feedback, and any ideas, concepts, know-how, or techniques contained in it, for any purpose without restriction and without obligation to compensate you, and this for the whole duration of the applicable (intellectual property) rights on the Feedback. For the avoidance of doubt, Feedback does not include Your Content, which is governed by Sections 5 and 6.
You agree that you will not, and will not permit anyone using your account to: use the Services, Websites, or Materials for any purpose that is unlawful or prohibited by the Terms; upload, store, or share content that is infringing, defamatory, obscene, harassing, malicious, or otherwise unlawful, or that contains malware or harmful code; upload or store personal, sensitive, or export-controlled data in violation of Sections 5.4 or 14; access, or attempt to access, content or accounts that do not belong to you, or circumvent or interfere with any authentication, authorization, access control, or security feature of the Services; interfere with, disrupt, overload, or impair the Services or their infrastructure, including by sending excessive or abusive requests through the user interface or any API (see Section 8.1); scrape, harvest, or bulk-extract content or data except through functionality expressly provided for that purpose and in accordance with any applicable rate limits; reverse engineer, decompile, or disassemble any part of the Services except to the extent this restriction is prohibited by applicable law; misrepresent your identity or affiliation, or use the Services to violate the privacy or rights of others; or resell, sublicense, or commercially exploit the Services except as expressly permitted.
A Service may expose an application programming interface (API). Your use of an API is part of your use of the Services and is subject to the Terms, including any documented authentication requirements, usage limits, and rate limits. OPCF may impose, change, or enforce such limits, and may monitor API use to protect the Services. You must not use an API in a manner that degrades the Services for other users.
Personal information you submit to OPCF in connection with your account or your use of the Services is handled in accordance with OPCF's Privacy Policy, which is incorporated into these Terms by reference. By creating an account and using a Service, you acknowledge that you have read and understand the Privacy Policy.
OPCF operates in, and the Services are used in, both the United States and the European Union. With respect to account and usage data, OPCF acts as a controller. You are not allowed to upload personal data in Your Content. However, if such a case should arise, you are the sole data controller under applicable data protection legislation and will bear all responsibility in complying with said legislation.
The Services and Your Content are hosted using cloud infrastructure and may be stored and processed in the United States, the European Union, or other locations where OPCF or its service providers operate. By using a Service, you acknowledge that Your Content and your personal data may be transferred to and processed in countries other than the country in which you reside, which may have different data-protection laws. In any case, OPCF ensures that your data is processed in compliance with applicable data protection laws, in accordance with our Privacy Policy available here.
You acknowledge that certain records are retained even where deletion is requested, to the extent permitted or required by law, including records of acceptance of the Terms, records of your role as a representative of an OPCF member, audit logs, and contributions to standards committees, online forums, or shared repositories.
OPCF implements reasonable technical and organizational measures designed to protect the Services and the content stored in them. However, no method of transmission or storage is completely secure, and OPCF cannot guarantee the security of Your Content, nor of content shared by other users. You use the Services at your own risk and remain responsible for not uploading content whose disclosure would be harmful to you (see Section 5.4).
As between you and OPCF, OPCF and its licensors own all right, title, and interest in and to the Services, the Websites, and the Materials (excluding Your Content), including all related intellectual property rights. The Services and Materials are protected by worldwide copyright and other (intellectual property) rights. Except as expressly set forth in these Terms or in licence terms accompanying a particular Service or Materials: (a) no licence or other rights are granted to you under any patents, copyrights, trademarks, or trade-secret information, whether by implication, estoppel, or otherwise; and (b) OPCF grants you a worldwide, royalty-free, limited, revocable, non-exclusive, non-transferable licence, for the duration of the Term, to access and use the Services and to display, copy, and download Materials for your internal use only, and you may NOT modify, distribute, transmit, perform, publish, license, create derivative works from, transfer, or sell the Services, the Websites, or the Materials, except (i) as expressly permitted for Your Content and Shared Content, or (ii) as expressly permitted by licence terms accompanying a particular Service or Materials.
"OPC Foundation", the OPC Foundation logo, OPC UA logo, "NodeSet Editor", and other OPC Foundation logos and titles are registered trademarks or service marks of the OPC Foundation. Any trade names, trademarks, service marks, logos, trade dress, and other brand features ("Trademarks") displayed on or featured in the Services, the Websites, or the Materials are the property of OPCF or third-party licensors. Nothing in the Services should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Trademark without the prior written permission of OPCF or the applicable owner.
These Terms apply for as long as you use the Services ("Term"). You may stop using a Service and may delete Your Content or close your account at any time using the features provided or by contacting OPCF. Prior to termination or closure of your account, you may export Your Content using the export functionality made available through the Service; it is your responsibility to export any content you wish to retain before your access ends. Upon termination or closure (by you or by OPCF), your right to access the Services ends, and OPCF may delete Your Content, subject to (a) routine backup retention for a limited period, (b) records OPCF is permitted or required to retain (see Section 9.4), and (c) Shared Content and copies already obtained by other users (see Section 6.3).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, THE WEBSITES, AND THE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND OPCF MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THEM, INCLUDING BUT NOT LIMITED TO ANY REPRESENTATIONS OR WARRANTIES OF ACCURACY, AVAILABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL NOT BE LOST. OPCF ASSUMES NO LIABILITY WHATSOEVER, AND DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, RELATING TO THE USE OF THE SERVICES, WEBSITES, OR MATERIALS, INCLUDING WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE, AND NON-INFRINGEMENT OF ANY PATENT, COPYRIGHT, OR OTHER INTELLECTUAL PROPERTY RIGHT.
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) GROSS NEGLIGENCE OR WILFUL MISCONDUCT. WITHOUT PREJUDICE TO THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER OPCF NOR ANY OF ITS MEMBERS, DIRECTORS, EMPLOYEES, OR OTHER REPRESENTATIVES WILL BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE SERVICES, WEBSITES, MATERIALS, OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. THIS LIMITATION OF LIABILITY APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, AND CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME, PROFIT, OR GOODWILL, AND/OR LOSS OF OR DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES. YOU HAVE SOLE RESPONSIBILITY FOR ADEQUATE PROTECTION AND BACKUP OF DATA AND EQUIPMENT USED IN CONNECTION WITH THE SERVICES OR MATERIALS AND WILL NOT MAKE ANY CLAIM AGAINST OPCF FOR LOST DATA, RE-RUN TIME, INACCURATE OUTPUT, WORK DELAYS, OR LOST PROFITS RESULTING FROM THE USE OF THE SERVICES OR MATERIALS. THE TOTAL AGGREGATE LIABILITY OF OPCF AND ITS MEMBERS, DIRECTORS, EMPLOYEES, AND OTHER REPRESENTATIVES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF, OR INABILITY TO USE, THE SERVICES, WEBSITES, MATERIALS, OR ANY CONTENT SHALL IN NO EVENT EXCEED USD 2,000,000.
You acknowledge and agree that the Services, the Materials, and Your Content may be subject to U.S. Export Administration Regulations and other applicable export-control and sanctions laws. You agree to comply strictly with all such laws, and you represent that you are not located in, and will not use or export the Services or Materials to, any country or party subject to applicable embargoes or sanctions, and that you will not upload or transmit through a Service any technical data whose export or disclosure would violate applicable law. You assume sole responsibility for obtaining any licences required to export or re-export as may be required.

OPCF may terminate or suspend an account for repeat infringement. If you believe that an account holder or subscriber is a repeat infringer, please follow the instructions above to contact the OPCF agent and provide information sufficient under the statute to verify that the account holder or subscriber is a repeat infringer.
You agree to defend, indemnify, and hold harmless OPCF, its officers, directors, employees, members, agents, and affiliates from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (a) your breach of the Terms, (b) Your Content or your sharing of it, or (c) any claim by a third party related to your acts or omissions or your use of the Services. OPCF will provide notice to you promptly of any such claim, suit, or proceeding and will provide you with reasonable assistance, at your expense, in defending it.
If any provision of these Terms is held to be void, invalid, unenforceable, or illegal by a court, the validity and enforceability of the other provisions will not be affected thereby.
Any action, proceeding, dispute, claim, or controversy arising out of or relating to the Terms is governed by Belgian laws, without regard to conflict-of-laws principles. The courts of Brussels shall have exclusive jurisdiction.
These Terms, together with the Privacy Policy and any supplementary terms referenced in Section 3.1, represent the entire understanding between you and OPCF related to the use of the Services, the Websites, and the Materials and, other than as described in Sections 1 and 3.1, will prevail over any prior or contemporaneous, conflicting, or additional communications.
